Sales Agreement Overview

All transactions are governed by a formal purchase agreement. A copy of the contract will be provided for review prior to payment. Below is a summary of key terms:

Agreement Activation

• The agreement becomes effective upon mutual acceptance and confirmation of the 30% deposit.

Delivery & Documentation

• Shipping is initiated once the 30% deposit has cleared.
• Pre-shipping inspection by a third-party is included for all units prior to dispatch.
• Commercial invoice and shipping documents are issued upon booking confirmation.

Insurance Coverage

• Marine insurance is included under CIF and DDP terms.
• Insurance details are provided within three (3) business days of loading.

Inspection & Claims

• Buyer may inspect the equipment upon arrival at destination.
• Claims regarding quality or damage must be submitted within 10 calendar days of delivery.
• No claims are accepted beyond 30 days from arrival date.
• All claims must be supported by third-party inspection reports and documentation (e.g., SGS survey, packing list, shipping documents).

Warranty Terms

• Units under 5 years old: Covered by a 180-day limited warranty
• Units 5 to 10 years old: Covered by a 90-day limited warranty
• Warranty covers essential components only: engine, transmission, and hydraulic systems
• Coverage begins on the date of delivery and applies to normal use only

Force Majeure

• Senoc is not liable for delays or non-performance due to uncontrollable events, including but not limited to:
  • Natural disasters, labor strikes, port closures, or government restrictions

Dispute Resolution

• All disputes are governed by ICC (International Chamber of Commerce) rules
• Arbitration shall be conducted in Paris, France under the authority of the ICC International Court of Arbitration
• The ruling of the arbitration is final and binding

Ownership Transfer

• Legal ownership of the equipment is transferred only after full payment has been received and confirmed.
